Terms of Service

By accessing the Techionic website at techionic.com, contacting us, or engaging our services in any way, you agree to be bound by these Terms of Service and our Privacy Policy.

If you are entering into these terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms.

If you do not agree with any of these terms, please do not use our website or engage our services.

Techionic provides custom software development and automation services, including but not limited to:

• AI chatbot systems for WhatsApp, websites, and other platforms
• Custom CRM platform development
• Voice AI system development and deployment
• Restaurant POS system development
• Medical practice management software
• Business process automation and workflow design
• API integrations and systems connectivity

The specific scope of any engagement is defined in a separate Statement of Work (SOW) agreed upon by both parties before work begins.

Each project is governed by a separate Statement of Work (SOW) that is prepared, reviewed, and agreed upon before any work commences. The SOW includes:

• Detailed scope of work and deliverables
• Project timeline and milestone schedule
• Fixed-price fee and payment schedule
• Acceptance criteria for each deliverable

In the event of any conflict between these general Terms of Service and a specific SOW, the terms of the SOW will prevail.

Changes to the agreed scope must be documented in a written change request and signed by both parties before implementation.

Payment terms are as follows:

• All projects require a deposit as specified in the SOW before work begins
• Invoices are due within 14 calendar days of issue unless otherwise specified in the SOW
• Techionic reserves the right to pause work on overdue accounts after providing written notice
• All fees are quoted in USD unless otherwise agreed
• Taxes, duties, or transfer fees incurred by the client's payment method are the client's responsibility

Payments are non-refundable except as expressly stated in the SOW or required by applicable law.

Upon receipt of full payment, the client receives ownership of all custom-built deliverables as specified in the SOW, including source code, designs, and documentation.

Techionic retains the following rights:

• Rights to general methodologies, frameworks, and approaches developed or refined during the project
• Rights to reusable components, libraries, and tools that are not specific to the client's project
• The right to reference the project as part of our portfolio unless prohibited in the SOW

Third-party components used in delivered work (open-source libraries, APIs) remain governed by their own licenses, which will be disclosed in the project documentation.

Techionic treats all client information as confidential. This includes:

• Business processes, strategies, and operational details shared during discovery
• Technical systems, integrations, and data structures
• Financial information and commercial terms

We are happy to sign a dedicated Non-Disclosure Agreement (NDA) before any project discussion begins. This is available on request at no cost.

We do not share client project details, names, or business information with any third party without explicit written consent.

Techionic warrants that all delivered work will:

• Function materially as specified in the accepted SOW
• Be free from material defects for a period of 30 days following the final delivery date
• Be developed using professional standards and practices

This warranty does not cover issues arising from:

• Modifications made by the client or third parties after delivery
• Third-party services, APIs, or platforms outside our control
• Requirements that were changed after the SOW was agreed

No warranty is given beyond what is explicitly stated in the SOW. The website and general communications are provided "as is" without warranty of any kind.

To the fullest extent permitted by applicable law:

• Techionic's total liability for any claim arising from a project is limited to the fees paid for that specific project
• Techionic is not liable for indirect, incidental, consequential, or punitive damages
• Techionic is not liable for losses arising from the client's use of delivered systems after acceptance

These limitations apply regardless of the form of the claim, whether contract, tort, or otherwise.

Either party may terminate a project engagement with 14 days written notice.

• Upon termination, the client is responsible for payment of all work completed up to the termination date
• Techionic will deliver all completed work and documentation to the client upon receipt of outstanding payment
• If the client terminates without cause after the project has begun, the deposit is non-refundable

Techionic reserves the right to terminate immediately for non-payment, breach of these terms, or conduct that creates a hostile working environment.

These Terms of Service are governed by and construed in accordance with the laws of Pakistan.

In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation within 30 days of the dispute arising.

If negotiation fails to resolve the dispute, it shall be referred to binding arbitration under the rules of a mutually agreed arbitration body before any litigation is pursued.

Techionic may update these Terms of Service from time to time. When we do:

• We will update the effective date at the top of this page
• For material changes, we will notify active clients by email at least 30 days before the change takes effect
• Continued use of our website or services after the effective date constitutes acceptance of the updated terms
